Terms of Service

1. Who can use Goalaxi

You must be at least 18 years old to create an account or use the Service. By creating an account, you confirm that you are 18 or older. If we learn that an account belongs to someone under 18, we will close it, delete its data and refund any payments for it. AI chatbots, including Goalaxi's assistant, may not be suitable for some minors, and Goalaxi is only for adults.

Goalaxi is offered only in the United States. You may not use the Service if the law forbids you from doing so.

Each account is for one person. You must give us accurate information, including an email address you control, and keep it up to date.

2. Your account

You sign in with a single-use link sent to your email address, or with Google. Anyone who can read your email or use your Google account can sign in to your Goalaxi account, so keep them secure. You are responsible for what happens in your account. Tell us at support@goalaxi.com right away if you think someone else has used it.

You can see your plan, export your data and delete your account at any time from Settings.

3. The Service

Goalaxi is a star chart of your goals and the habits that move them, with an AI assistant that helps you shape and keep the chart. We work to keep the Service useful and available, but we may change, add or remove features, and the Service may sometimes be unavailable, for example during maintenance or an outage. If we remove a feature that is a substantial part of what you paid for, you may cancel, and we will refund the unused part of the period you have paid for.

4. The assistant and other AI features

Goalaxi uses artificial intelligence throughout. The assistant is an AI, not a person, and the app uses AI to guess things about your chart, such as a habit's effort or how strongly it helps a goal, and to propose changes.

• AI can be wrong, incomplete, inconsistent or out of date. Check anything that matters before you rely on it.
• You decide what goes on your chart. Changes the AI proposes, such as new goals, habits or links, wait as proposals until you accept them. When you log something with Say It and the app is confident what you meant, it logs it straight away and shows an undo; when it is less sure, it asks you first. The app's guesses, such as a habit's effort, are marked as guesses until you choose a value.
• What the assistant says is generated for you and is not reviewed by a person before you see it. It does not reflect our views, and it is not a statement by us of fact or advice.
• AI features may be unavailable at times. When they are, the rest of your chart, logging and history keep working.

As between you and us, and subject to section 13, you may use what the assistant writes for you for any lawful purpose. Others may receive similar output, and we do not claim it is unique to you.

5. Not medical, mental health or professional advice

Goalaxi is a goal-setting tool. It is not therapy, counseling, coaching by a licensed professional, or a medical, mental health, nutritional, fitness, legal or financial service, and it does not diagnose, treat or prevent any condition. The assistant is not a therapist, counselor, doctor or other professional, and nothing in the Service is professional advice.

Talk to a qualified professional about your health, including before you start a new diet, exercise program or change to a medication, and do not delay or ignore professional advice because of something in Goalaxi. Goalaxi is not an emergency service.

6. Safety and crisis support

If you are in danger or thinking about harming yourself, call or text 988 to reach the 988 Suicide and Crisis Lifeline, or chat at 988lifeline.org. In an emergency, call 911.

This is our protocol for responding to signs of crisis in the Service:

• Automated checks read text you write in the Service, including what you write to the assistant and in Say It, for signs of suicidal thoughts, self-harm or crisis, and review your recent conversations with the assistant for low mood that persists. They are designed to err toward showing help when in doubt.
• When a check finds a possible crisis signal, the app responds with a gentle check-in and US crisis resources: the 988 Suicide and Crisis Lifeline by call, text and chat.
• When a signal is severe, coaching pauses, and the resources stay on screen until you choose to continue.
• When low mood seems to last, the assistant is designed to say plainly that a lasting loss of interest can be worth talking to someone about. It is instructed never to diagnose.
• The assistant is designed to respond to goals that could hurt you, such as extreme restriction, with care instead of helping you pursue them.
• Crisis support resources are always available from the account menu, under Crisis support.
• The assistant is instructed not to encourage or give instructions for suicide or self-harm, and not to claim to be human. The AI models it runs on also have their own safety training.
• We record only that a check-in was shown, how serious the signal appeared and the time, never what you wrote, as our Privacy Policy describes.

These checks are automated and imperfect: they can miss signs of crisis, and they can show resources when you are fine. Like any AI, the assistant can say something it shouldn't. Goalaxi does not monitor you in real time, does not contact emergency services, your witness or anyone else on your behalf, and cannot replace help from a person.

7. The free trial

Each new account gets a free trial of the full Service for six weeks from the day the account is created. The trial needs no payment details, and it never turns into a paid plan on its own: you are only charged if you choose to subscribe. If you subscribe during the trial, your plan and its first charge start that day.

When the trial ends, your account becomes read-only, as described in section 10, until you subscribe. One trial is available per person. We may change the length or terms of the trial for accounts created after the change.

8. Plans, payment and automatic renewal

Goalaxi has one paid plan, billed either monthly or yearly. The current prices are on our pricing page, and the price, billing period and any tax are shown again before you pay.

Subscriptions are sold through Stripe's Managed Payments service. "Sold through Link, LLC" ("Link"), an affiliate of Stripe, is the merchant of record: it sells the subscription to you, charges your payment method, handles sales tax, receipts and payment disputes, and provides support for billing and transactions. Your receipts will say "Sold through Link," and charges appear on your statement beginning "LINK.COM*". Your purchase from Link is also governed by Link's own customer terms, presented at checkout, which are between you and Link. We provide the Service itself and support for it.

Your plan renews automatically. By subscribing, you authorize Link to charge the price shown at checkout, plus any applicable tax, to your payment method at the start of your plan and again at the start of each new monthly or yearly period, until you cancel. You can cancel at any time online, as section 9 explains; cancellation takes effect at the end of the period you have already paid for.

You can switch between monthly and yearly billing from Manage plan in Settings. Any amount charged or credited for the switch is shown before you confirm it.

If a payment fails, your plan stays active while the payment is retried. If it still cannot be collected, the plan ends and your account becomes read-only.

If the price of your plan changes, you will receive notice by email between 7 and 30 days before the new price first applies to you, with instructions for cancelling. The new price applies from your first renewal after that notice. If you do not want to pay it, cancel before that renewal. If you are charged the new price and did not mean to continue, email support@goalaxi.com within 14 days of that charge and we will refund it and end your plan.

Between 30 and 40 days before each renewal of a yearly plan, and for a monthly plan between 30 and 40 days before the renewal that begins each new year of your plan, we (or Link on our behalf) will email you a reminder. It will say that your plan renews automatically, its price and billing period, when it renews, and how to cancel, with a link to do so and how to contact us.

Prices are in US dollars. A promotional price applies only for the period and under the conditions stated with the offer.

9. Cancellation and refunds

You can cancel your plan at any time, online, from Settings: choose Manage plan, then cancel. You can also cancel through Link at link.com, or by emailing support@goalaxi.com from your account's email address; we will cancel within two business days of receiving your email and refund any charge made after we received it. You never need to call anyone or talk to anyone to cancel.

When you cancel, you keep full access until the end of the period you have already paid for, and you will not be charged again. After that, your account becomes read-only. You can resume your plan before the period ends.

We do not give refunds or credits for the unused part of a period when you cancel, except: (a) if you were charged in error, or charged after you cancelled; (b) as described in sections 1, 3, 8, 16, 17, 18 and 23; or (c) where the law requires a refund. Link may also issue refunds under its own policies. To ask for a refund, email support@goalaxi.com. Refunds are returned to your original payment method.

10. Read-only accounts and your data

When your trial or plan ends, your account becomes read-only: you can still read and export your chart, its history and your conversations, but logging, editing, the assistant and other AI features, notifications and witness reports stop until you subscribe. Nothing is deleted when this happens.

Your data stays available for as long as your account exists, and you can export it or delete your account at any time. If an account has been read-only and no one has signed in to it for two years, we may delete it, after emailing its address at least 30 days before. Signing in during that time keeps it.

11. Your content

Everything you put into Goalaxi, such as your goals, habits, check-ins, notes, conversations and reports ("Your Content"), stays yours.

You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, including sending parts of it to the AI providers that run the Service's AI features, as our Privacy Policy describes. This license ends when Your Content is deleted from the Service, except for copies that remain in backups until they expire.

You are responsible for Your Content and for having the right to share it. Do not put other people's sensitive personal information into Goalaxi without their permission.

12. Witness reports

When witness reports are available, you can invite one person to receive a weekly report you write. Invite only someone you know and who would welcome it. They receive nothing until they agree, and they can stop at any time. You are responsible for what you write in your reports; replies go to your own email address, and we do not read or keep them.

13. Acceptable use

You agree not to, and not to help anyone else to:

• break the law, or use the Service to harass, threaten, defraud or harm anyone;
• use the Service to send unsolicited messages, or invite someone who would not welcome reports;
• access another person's account, or try to get around sign-in, rate limits, the trial or plan limits, or other security or usage controls;
• create multiple accounts to get more than one free trial;
• probe, scan or test the Service's vulnerabilities, or interfere with or overload it, except through a coordinated disclosure we agree to in writing;
• copy, scrape or harvest the Service or its data by automated means, except your own data through features we provide;
• reverse engineer, decompile or try to extract the Service's source code or models, except where the law allows despite this restriction;
• use the Service, or what the assistant produces, to build a competing product or to train AI models;
• try to make the assistant produce content that is illegal, sexual, violent or hateful, or that facilitates harm, or try to defeat its safety measures; or
• resell, sublicense or share access to the Service, or use it on behalf of anyone other than yourself.

14. Our property and your license to use Goalaxi

The Service, including its software, design, star chart, text, graphics and the Goalaxi name and logo, belongs to us and is protected by intellectual property laws. Except for Your Content, these Terms give you no rights in it other than the license below.

While you follow these Terms, we give you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own use as an individual, including for goals about your work.

If you send us ideas or feedback, we may use them without restriction or payment to you.

15. Services from other companies

Parts of the Service rely on other companies, such as Google for sign-in and Stripe for payments. Your use of their services is subject to their own terms and privacy policies, and we are not responsible for them. Links to other websites are provided for convenience; we do not control those sites.

16. Ending this agreement

You can stop using the Service at any time, and delete your account from Settings. Deleting your account cancels any active plan immediately, with no further charges and no refund for the rest of the period you have paid for, and permanently deletes your data as our Privacy Policy describes. To keep the plan to the end of that period, cancel it first and delete your account later.

We may suspend or close your account if you materially or repeatedly break these Terms, if your use creates a risk of harm or legal liability for us or others, or if the law requires it. Where it is reasonable and lawful, we will tell you first and give you a chance to fix the problem and to export your data. If we close your account for a reason other than your breach of these Terms, we will refund the unused part of any period you have paid for.

Sections 11 (for the license until your content is deleted), 9, 19, 20, 21, 22 and 23, and any other terms that by their nature should continue, survive the end of this agreement.

17. If Goalaxi shuts down

If we decide to stop offering the Service, we will tell you by email at least 30 days before it ends, keep export available until then, stop all renewals, and refund the unused part of any period you have paid for beyond the shutdown date. After the Service ends, we delete your data as our Privacy Policy describes.

18. Changes to these Terms

We may change these Terms. The effective date at the top of this page shows when the current version took effect. Earlier versions are available on request.

If a change materially affects your rights or obligations, we will email you at least 30 days before it takes effect, with a summary of the change and how to cancel, and the app will ask you to accept the new Terms. Once the change takes effect, you need to accept the new Terms to keep using the Service. Until you do, you can still sign in to read and export your data, delete your account and manage or cancel your plan, and your plan will not renew. If you haven't accepted the change and you cancel your plan or delete your account, whether before or after it takes effect, we will refund the unused part of any period you have paid for. Other changes, such as corrections or clarifications that do not reduce your rights, take effect when we post them.

Changes do not apply to disputes that arose before the changed Terms took effect.

19. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ANY CONTENT, INCLUDING CONTENT GENERATED BY AI, WILL BE ACCURATE, COMPLETE, RELIABLE OR APPROPRIATE, OR THAT THE SERVICE WILL HELP YOU REACH ANY GOAL OR ACHIEVE ANY RESULT.

If applicable law does not allow an implied warranty to be excluded, that warranty is limited to the shortest period the law allows.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50.

These limits apply whatever the legal theory, whether contract, tort (including negligence), strict liability or otherwise, and even if a remedy fails of its essential purpose. They do not limit liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence, or any other liability that applicable law does not allow to be limited. Nothing in these Terms limits any right you have under applicable law that cannot be waived by contract.

21. Your responsibility for claims

To the extent the law allows, you agree to defend and indemnify us against claims, losses and reasonable costs, including reasonable attorneys' fees, brought by a third party and arising from Your Content or your violation of these Terms or the law. This does not apply to the extent a claim results from our own fault. We will tell you promptly about any such claim and let you help defend it.

22. Disputes and governing law

If you have a problem with Goalaxi, please email support@goalaxi.com first. Most problems can be solved quickly that way. Before either of us starts a lawsuit, the party with the claim will send the other a written description of it (to support@goalaxi.com for us, or to your account's email address for you) and give the other 30 days to resolve it informally. The description should include your name, your account's email address, what happened and what you are asking for. Any deadline for bringing the claim is paused during those 30 days. This does not apply to requests for urgent court orders to stop ongoing harm, such as unauthorized access to the Service or misuse of intellectual property.

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws rules, and by applicable federal law. Except as described below, any lawsuit about the Service or these Terms must be brought in the state or federal courts located in Georgia, and you and we consent to their jurisdiction.

Either of us may instead bring an individual claim in a small claims court in the county where you live, if the claim qualifies there. Nothing in these Terms takes away any right you have under the consumer protection laws of your state that cannot be waived by contract, including any right to bring a claim in the courts where you live.

23. General terms

• Who you are contracting with. Goalaxi is operated by Bear Flinn as an individual. We may transfer these Terms, and your account, to a company formed to operate Goalaxi, or to a successor in a merger, sale or other transfer of Goalaxi, if the new operator agrees to be bound by these Terms and our Privacy Policy. We will email you at least 30 days before such a transfer, and you can delete your account before it happens. From the transfer, the new operator takes our place under these Terms, and you agree that Bear Flinn is released from obligations arising after it. If the transfer means your plan has to be set up again, you won't be charged again until you subscribe again, and we will refund the unused part of any period you have paid for that the new operator does not honor. You may not transfer these Terms or your account to anyone else.
• Electronic communications. You agree that we may give you notices and other communications by email to your account's address or in the app, and that these satisfy any requirement that they be in writing. Notices to us go to support@goalaxi.com.
• Entire agreement. These Terms, together with the price and billing details shown when you buy a plan, are the entire agreement between you and us about the Service, and replace any earlier agreement about it. Our Privacy Policy and Consumer Health Data Privacy Policy explain how we handle your information.
• Severability. If any part of these Terms is found unenforceable, it will be enforced to the greatest extent permitted, and the rest of these Terms will remain in effect.
• No waiver. If we do not enforce a part of these Terms, that is not a waiver of our right to enforce it later.
• Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of the services we rely on, natural disasters or acts of government.
• No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.
• Headings. Section headings are for convenience only and do not change the meaning of these Terms.
